1. CONTEST DATES AND TIMES: "The Shameless Awards" ("Contest") will run for twelve (12) weeks and begins on or about 12:00 AM Eastern Time ("ET") on January 13, 2013 and ends on or about 11:59 PM ET on March 31, 2013 (the "Contest Entry Period"). The start and end date for each week varies (as listed below) with each week starting at 12:00 AM ET on the respective start date and ending at 11:59 PM ET on the respective end date (each a "Weekly Period").

2. ELIGIBILITY : This Contest is open only to individual legal residents of the fifty (50) United States or the District of Columbia, at least twenty-one (21) years of age on date of entry who are registered users of either Twitter or Facebook. Employees, their immediate family members (parents, spouses, siblings, children, and grandparents regardless of where they reside), and members of the same household (whether or not legally related) of Sponsor (as defined in Section 13), Administrator (as defined in Section 13), and their respective affiliates, subsidiaries, parent companies, and advertising and promotion agencies are not eligible to enter or to win. Void in Puerto Rico and all other non-state U.S. territories and possessions (not including the District of Columbia), and where prohibited. By entering, entrants represent that they have read these Official Rules and agree to abide by and be bound by all terms of these Official Rules. There is no fee or charge to become a registered user of Twitter or Facebook. This contest is in no way sponsored, endorsed, or administered by, or associated with Facebook or Twitter.
3. HOW TO ENTER : During the Contest Entry Period, go to shamelessawards.com (the "Contest Site"), select a Shameless Award title from the list of Sponsor-provided titles available on the Contest Site, connect through Facebook Connect or Twitter Connect to select a Facebook friend or someone you follow on Twitter that you would like to nominate for that award, and provide a supporting text statement of no more than 500 characters explaining the reasons why you think the person selected should be given the award title selected. Note: To enter via Twitter: You must follow @SHO_Shameless and use the hash tag "#ShamelessAwards or "#Shameless". Short URLS or links to any websites, web pages or blogs, etc. are not permitted. If your entry is selected as a Potential Weekly Winner, and depending on the entry method used to submit your entry, you will either receive an email or, for those who entered through Twitter, a direct message to your Twitter handle within approximately forty-eight (48) hours following the end of the respective Weekly Period. In either case, you will be asked to authenticate your entry, and (at Sponsor's discretion) to claim and/or demonstrate control of ownership of the respective account, and to provide your daytime telephone number and preferred email address (if different than originally provided) within 36 hours so that additional information may be provided to you for verification of your eligibility as outlined in Section 8 below. All entries, regardless of entry method, must also comply with the technical and creative requirements set forth in Section 4 below in order to be eligible. Note: Depending on the method of entry, the Shameless Award title that you selected will either be posted onto the Facebook wall of the person you selected to be awarded or will appear in your Twitter timeline.
There is no entry limit per person. However, each entry must be unique and may only be submitted once. Entries not submitted in accordance with the instructions provided on the Contest Site and in these Official Rules are subject to disqualification, in the sole discretion of the Sponsor. For the purposes of these Official Rules, receipt of entry occurs when the Contest Site's servers successfully receive the uploaded entry and record the required entry information to the Contest Site. Entries will not be returned.
4. TECHNICAL AND CREATIVE REQUIREMENTS:
Supporting text statement must be in English language only.
Maximum length of supporting text statement is 500 characters.
Tone of entries submitted should be "light" and "fun" with regards to why you think the person you selected should be awarded the specific award title. See Section 5 for additional Entry Terms.
5. ENTRY TERMS: By participating in the Contest, entrant warrants that his or her entry:
(a) is the original work of the entrant;
(b) has not previously been submitted in any competition and has not won an award of any kind;
(c) does not contain any use of names, likenesses, photographs, or other identifying elements in whole or in part, of the nominee and any person, living or dead, without permission (proof of which must be provided to the Sponsor upon request in a form satisfactory to Sponsor);
(d) does not infringe or violate the rights of any third party, including but not limited to, copyrights, trademarks, logos, copyrighted material not owned by entrant, contract and licensing rights, rights of publicity or privacy, moral rights, or any other intellectual property rights;
(e) is not subject to any third party agreements, and that Sponsor will not be required to pay or incur any sums to any person or entity as a result of its ownership, acquisition, use or exploitation of the entry or rights therein;
(f) does not contain hateful content of any kind (including without limitation racism, sexism, etc.), content which promotes violence or harm to another living creature, or any other defamatory, offensive, obscene, or inappropriate content, the determination of which shall remain in the sole discretion of Sponsor;
(h) does not contain reference to any political party; and
(i) that entrant indemnifies Sponsor from and against any cause of action, complaints, or other claims arising out of the breach of any of the foregoing warranties.
Entries may only be submitted by individual entrants. Group entries will not be accepted. By entering the Contest, each entrant represents and warrants that he or she has obtained all of the rights, licenses, and permissions in writing from the nominee and any person (or parent/legal guardian if person is a minor) who may be mentioned in the entry. If, in the sole discretion of the Sponsor and/or the Administrator, an entrant has breached a representation or warranty, the entry will be subject to disqualification.
Sponsor reserves the right to disqualify any entry if, in Sponsor's sole discretion, it considers an entry inappropriate in any way. Decisions of the Sponsor are final and binding.
6. LIMITATION OF LIABILITY: Neither Sponsor, Administrator, Facebook, Twitter, nor any of their respective parents, subsidiaries, affiliates and each of their respective officers, directors, shareholders, agents and employees, nor any Internet access providers (collectively "Releasees") are responsible for incorrect or inaccurate entry of entry information, human error, technical malfunction, lost/delayed data transmission, omission, interruption, deletion, defect, line failure of any telephone, computer, or other network, computer equipment, software or any combination thereof, inability to access Contest Site, or for late, lost, damaged, misdirected, incorrect or incomplete entries, or for any other problems or errors related to the Contest. The Sponsor reserves the right to review all entries received during the Contest Entry Period and to only post entries on the Contest Site that conform to these Official Rules, as determined by Sponsor in its sole discretion ("Eligible Entries"). Entries that do not comply with these Official Rules, as determined by Sponsor, will be subject to disqualification from the Contest and removed from the Contest Site. The Sponsor reserves the right to not post or to take down any entry from the Contest Site at any time, for whatever reason, including subsequent determination that an entry does not comply with these Official Rules.
7. JUDGING TO DETERMINE POTENTIAL WEEKLY WINNERS/GRAND PRIZE WINNER: All Eligible Entries received by 11:59 PM ET at the end of each Weekly Period will be screened by a select panel of independent judges who will score each entry based on how closely such entry meets the following equally weighted judging criteria:
How original or unique the entry is
How humorous the entry is
How well the entry supports the award title selected.
The judges and Sponsor will designate the Potential Weekly Winners and, ultimately, the Grand Prize Winner in their sole discretion. In the event of a tie, the entry with the highest score in the Humorous criteria listed above will be deemed the Potential Winner.
Designation as a Potential Winner is subject to entrant's proof of compliance with these Official Rules, maintaining compliance with these Official Rules, and approval by the Sponsor. The decisions of the Sponsor are final and binding in all matters relating to this Contest, including interpretation and application of these Official Rules.
8. NOTIFICATION OF POTENTIAL WEEKLY WINNERS: Within approximately forty-eight (48) hours of the end of each Weekly Period, One (1) Potential Weekly Winner will be notified by a Sponsor representative by email or by direct message to his/her Twitter account. Each Potential Weekly Winner will be required to provide his/her daytime telephone number and preferred email address as stated in Section 3 above and as directed by Sponsor representative within 36 hours from the date of the notification. Following receipt of requested contact information, Administrator will then contact each Potential Weekly Winner via email who will then each be required to sign and properly execute: 1) an Affidavit of Eligibility and Publicity/Liability Release (where legal) and 2) an Entrant Agreement and Release (together, the "Releases") and return them via email or facsimile (and subsequently by mail) to Administrator within three (3) days of notification date to remain eligible as a Potential Weekly Winner, subject to approval of his/her releases. Grand Prize winner will also be required to complete a W9 Tax Form. In addition to completing the required forms, each winner (once verified) will be required to provide a digital photograph of himself or herself for use in Sponsor's on-air promotion of the campaign. Specifications regarding photograph file format and size will be provided upon notification. If any Potential Weekly Winner fails to respond to any notification, fails to properly execute and return all documents described herein in the time noted by the Administrator at the time of the Weekly Prize notification, or if the Potential Weekly Winner declines to accept the prize, or if the Potential Weekly Winner is found not to be eligible or not in compliance with these Official Rules, the Potential Weekly Winner may be disqualified and the next highest scoring entry may be declared the alternate Potential Weekly Winner (subject to all verification and eligibility requirements of these Official Rules) even if the disqualified Potential Weekly Winner's name and/or image may have already been shown or announced online.
Up to twelve (12) total Potential Weekly Winners will be selected. If Sponsor does not receive a sufficient number of Eligible Entries during any given Weekly Period during the Contest Entry Period, Sponsor reserves the right to declare and notify fewer than twelve Potential Weekly Winners. At the end of the Contest Entry Period, one (1) Potential Grand Prize Winner will be selected from among all previously selected Potential Weekly Winners.
In addition, entrants acknowledge and agree that the Sponsor reserves the right to disqualify any Potential Weekly Winner at any time, in its sole discretion, on the basis of anything contained in or learned or obtained as a result of any submitted Releases, or any other forms requested by the Sponsor that, in its sole opinion, would constitute a breach of these Official Rules or otherwise, inclusive of any proof of permission that the Sponsor may request in its sole discretion.
9. PRIZES: Up to Twelve (12) Weekly Winners will receive $500.00 (awarded in the form of a check). One (1) Grand Prize Winner (selected from among the previously selected Weekly Winners) will receive $15,000 (awarded in the form of a check). All taxes are responsibility of respective Winners. Complete terms and conditions of prizes will be furnished with prize notification. Prize is non-transferable; no substitutions allowed, except at the discretion of the Sponsor in which case a prize of equal or greater value will be awarded. All details of prizes not specified herein shall be determined solely by Sponsor. Approximate retail value (ARV) of all prizes is up to $21,000. There is a limit of one (1) weekly prize per Weekly Winner. Prize checks will be delivered to confirmed winners within approximately 2 weeks following approval of each Weekly Winner's documentation and verified eligibility.
10. OWNERSHIP OF ENTRY: Entrants retain ownership of their entries. However, by entering this Contest, and to the extent allowed by law, entrants grant Sponsor and each of its affiliates, licensees, promotional partners, advertising and promotion agencies, and third party marketing entities the absolute right and permission to use their name, biographical data, photograph, or other likeness and/or prize information and to edit, modify, cut, rearrange, add to, delete from, copy, reproduce, translate, adapt, publish, exploit, and use the content of and elements embodied in the entry, in commerce and in any and all media worldwide, without limitation or compensation to the entrant. Entrants waive and release Sponsor and Releasees from any and all claims that entrants may now or hereafter have in any jurisdiction based on "moral rights" or "droit moral" or unfair competition with respect to Sponsor's exploitation of Entries without further notification or compensation to entrants of any kind, and agree not to instigate, support, maintain, or authorize any action, claim, or lawsuit against the Releasees, on the grounds that any use of any entry, or any derivative works, infringe, or violate any of entrant's rights therein.
Entrants hereby acknowledge and agree that the relationship between entrant and the Sponsor is not a confidential, fiduciary, or other special relationship, and that entrant's decision to provide the Entry to the Sponsor for purposes of the Contest does not place the Sponsor in a position that is any different from the position held by members of the general public with regard to elements of the entry, other than as set forth in these Official Rules. You understand and acknowledge that the Sponsor has wide access to ideas, photographs, designs, and other literary materials, and that new ideas are constantly being submitted to it or being developed by its own employees. You also acknowledge that many ideas or photographs may be competitive with, similar to, or identical to the entry and/or each other in theme, idea, format, or other respects. Entrant acknowledges and agrees that he/she will not be entitled to any compensation as a result of Sponsor's use of any such similar or identical material that has or may come to Sponsor from other sources. Entrant acknowledges and agrees that the Sponsor does not now and shall not have in the future any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of the Entrant's copyright in and to the submission.
11 . ADDITIONAL TERMS: Sponsor will not enter into any correspondence, including email, with non-winning entrants. Sponsor and/or Administrator reserve the right, in their sole discretion, to disqualify any individual found tampering with the entry process or entry materials. ALL ENTRANTS ACCEPT THE CONDITIONS STATED IN THESE OFFICIAL RULES, AGREE TO BE BOUND BY THE DECISIONS OF THE JUDGES, WARRANT THAT THEY ARE ELIGIBLE TO PARTICIPATE IN THIS CONTEST AND RELEASE RELEASEES FROM AND AGAINST ALL CLAIMS AND DAMAGES ARISING IN CONNECTION WITH THEIR PARTICIPATION AND/OR ENTRY IN THE CONTEST AND/OR AWARDING OR USE OF ANY PRIZE AWARDED IN THIS CONTEST. ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE SHOWTIME NETWORKS INC. AND THEIR DESIGNEES RESERVE THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR ANY SUCH ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. The use of any automated launching or entry software or any other mechanical or electronic means that permits the entrant to automatically enter is prohibited. In the event of a dispute as to who submitted an entry, the entry will be deemed submitted by the authorized account holder of the email address submitted at the time of entry. "Authorized account holder" is defined as the person assigned to an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the email address in question. Any entry information collected from the Contest shall be used only in a manner consistent with the consent given by entrants at the time of entry, with these Official Rules, and with Sponsor's Online Privacy Policy which can be found at http://www.sho.com/site/privacy.do
This Contest is governed by U.S. law and is subject to all applicable federal, state and local laws. Any and all legal actions or claims arising in connection with this Contest must be brought in a court of competent jurisdiction within the U.S. If, in the judges' opinion there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Contest, or if technical difficulties compromise the integrity of the Contest, the judges reserve the right to void suspect entries and/or terminate the Contest and award the prize from among all Eligible Entries received as of the termination date. Should the Contest be terminated prior to the stated expiration date, the Sponsor will endeavor to post notice of termination at sho.com.
12. WHO WON?: Names and personal images (if available) of Weekly Winners and Grand Prize Winner will be posted during the Contest Entry Period at shamelessawards.com . Grand Prize Winner will be announced on or about April 3, 2013.
